Carlos Clark is an Associate in our Corporate group. Carlos focuses his practice on a wide variety of corporate and securities matters including private equity and venture capital transactions, asset purchases and sales, leveraged buyouts, public and private offerings of securities, securities law compliance for public companies and other matters of general corporate and securities law.

Representative Experience

• Representation of Sohu.com Inc. in connection with the sale of the game information portal 17173.com to Sohu’s majority-owned subsidiary Changyou.com Limited.
• Representation of Sohu.com Inc. and its search subsidiary Sogou in a preferred stock investment in Sogou by Alibaba Group.
• Representation of Internet-based companies in initial and follow-on rounds of venture capital financing.
• Representation of Magic Brands, LLC and Fuddruckers, Inc. in sale of assets to Luby’s, Inc. under Section 363 of the Bankruptcy Code.
• US legal counsel and securities counsel to one of China’s top online media, communications, commerce and mobile value-added service companies.
• Structuring, drafting and closing of sophisticated mergers, acquisitions and dispositions.
• Representation of private equity and venture capital firms in early and late-stage investment agreements and purchase and sale agreements.
• Advise various public and private business entities in connection with ongoing matters, including matters relating to review.
