Overview

Mary Ellen Welch Rogers practices in the Commercial Law and Bankruptcy groups. Her practice focuses on complex asset-based loan documentation, intercreditor and subordination agreements, loan workouts and debtor-in-possession financing. For more than 15 years, Mary Ellen has represented secured and unsecured creditors in negotiation and preparation of out-of-court workouts and restructurings and in reorganization and liquidation cases. She also represents agent and lender interests in national and regional bankruptcy cases with a particular focus on retail.

  • Advise creditors committee on financing and related issues in biotech chapter 11.

  • Senior lender representation in for lender to regional fine jewelry chain (Southeastern US).

  • Senior lender representation in loan to restaurant franchise operator (Mid Atlantic). 
  • Represent bond purchasers in Massachusetts IRB transactions. 
  • Revolving senior secured lender representation in financing, forbearance and Chapter 11 proceedings of nationwide footwear retailer. 
  • Senior agent and lender representation in revolving credit facilities extended to specialty retailers including national and regional retailers of sports merchandise, duty-free goods, jewelry and gifts, women’s and men’s apparel, working apparel, and infant and children’s goods. 
  • Senior secured lender representation in Chapter 11 financing for regional hardware retailer. 
  • Co-lender and participating lender representation in credit facilities for national pharmacy, department store, office goods, apparel and specialty retailers. 
  • Mezzanine lender representation in financing for furniture retailer.
  • Mezzanine and real estate financing lender representation in extension and workout of combined credit facilities for regional west coast department store. 
  • Representation of creditor in Chapter 11 of a national golf footwear manufacturer.
