The Goulston & Storrs Corporate & Private Entity Disputes group is a multi-disciplinary team of business attorneys and litigators who provide advice relating to entity disputes, business governance and best practices. This group also conducts internal and external investigations in these matters, and provides support to clients regarding director and officer liability, errors and omissions liability insurance defense and indemnity reviews. Our attorneys have particular experience representing clients in litigation involving shareholder and partnership disputes and officer and director liability. We also have a wealth of experience resolving disputes involving alternative entities such as Limited Liability Companies and Limited Liability Partnerships.

Representative Projects and Transactions

  • Represented holders of $100 million in preferred equity investment in dispute with controlling members of limited liability companies regarding sale of assets and restructuring.
  • Represented general and limited partners in action seeking order of specific performance to enforce their right to purchase interests of minority limited partners under buy/sell provision of partnership agreement.
  • Represented general partners in action by limited partners alleging that general partners breached their fiduciary duties by declining offer to sell partnership’s real estate holdings to public REIT.
  • Represented public and private companies before the Delaware Chancery Court in disputes asserting breaches of fiduciary duties and related claims.
  • Represented shareholders in a number of disputes over control and ownership of closely held businesses.
  • Represented special committees investigating allegations of stock option back-dating, insider trading, improper sales practices and accounting violations.
  • Defense of shareholder class actions brought in connection with “going private” mergers.
  • Advice to businesses on issues involving high tech crime.
  • Represented minority shareholders in dispute over control and ownership of family business.
  • Professional and business firm internal disputes and separations.
