Acquisitions and Dispositions

  • Representation of a prior owner of the Midway Business Center in Chicago, Illinois in connection with the acquisition, leasing, financing and disposition of an industrial warehouse facility comprised of over 1,000,000 square feet.
  • Representation of a national wholesale club in the acquisition and permitting of a 700,000 sf regional distribution center in Massachusetts.
  • Representation of two institutional investors in a joint venture of the ownership, leasing and disposition of industrial facilities in five different states.
  • Representation of an investment management company in the disposition of its interest in a portfolio of approximately 65 industrial properties.
  • Representation of an investment management firm and an owner and developer of distribution warehouse facilities in a joint venture and acquisition of over 100 industrial properties throughout the United States.

Development and Permitting

  • Representation of a client in securing permits for a regional tire warehouse and distribution center in Canton, Massachusetts.
  • Representation of a client in obtaining permits and approvals and successfully defending appeals to facilitate the development or redevelopment of large-scale warehouse and data center facilities in Wakefield, Needham and Billerica, Massachusetts. 
  • Representation of a client in obtaining discretionary permits and successfully defending an appeal of permits for a regional recycling center in Worcester, Massachusetts.
  • Representation of a large self storage company on the conversion of an existing warehouse into a self storage facility and the construction of a new self storage building in Washington, DC.
  • Representation of Shire Human Genetic Therapies, Inc. in connection with the development and acquisition of the 95 acre Lexington Technology Park in Lexington, Massachusetts, including negotiation of two space leases, two reverse build-to-suit leases for new facilities, an option agreement giving Shire control of the site and rights of first offer to lease or purchase, the acquisition of a parcel in the park on which Shire constructed a new biotech manufacturing facility, and all related architectural services and construction contracts for the design and construction of such facilities. Also provided necessary environmental due diligence work related to this project.

  • Representation of a private “green” developer in the redevelopment of a vacant mill into a mixed-use condominium that included office components.
  • Representation of Boston Properties in acquiring, permitting, developing, leasing and constructing a LEED Gold certified mixed use project including approximately 400,000 square feet of office space at Atlantic Wharf, Boston.
  • Counsel to H20 Applied Technologies, provider of energy and utility conservation installations and services to hospitals, office buildings and other significant energy users.
  • Representation of a private investment fund in negotiating an energy services agreement for the installation and operation of a 400 kilowatt fuel cell to provide alternative generation of electric power and heat for the Fox News Building in New York City. 
  • Representation of Beacon Capital Partners in connection with environmental due diligence activities associated with the acquisition of office properties in Seattle, Washington DC, Virginia and Massachusetts.

  • Defeated a challenge to the development of a large mixed-use retail/office project in air rights over the Mass Turnpike, upheld on appeal in Flaherty v. Massachusetts Turnpike Authority, et al., 63 Mass. App. Ct. 1118 (2005).
  • Successfully represented the developer of the largest office complex in Boston in a $300+ million dispute with its lender.
  • Representation of large commercial and office building property owners in abatement tax abatement proceedings resulting in substantial tax abatements.
  • Obtained summary judgment in a challenge to zoning amendments and other zoning relief issued to developer of large mixed-use office/retail development, upheld on appeal in Brookins, et al. v. Zoning Commission of Boston, et al., 66 Mass. App. Ct. 1116 (2006), further appellate review denied, 447 Mass. 1107, Petition for Certiorari denied by the United States Supreme Court.
  • Representation of the developer of a downtown 30-story mixed-use office/retail/residential project in defeating the efforts of opponents to obtain an injunction to stop the development.
