Andy Goldwasser is a corporate attorney representing public and private clients in both buy and sell-side merger and acquisition transactions. Andy also advises clients in connection with capital markets, financing transactions, and general corporate matters. Her experience spans several industries such as finance, manufacturing, technology, retail, transportation, and hospitality. Andy reviews and executes on a range of sophisticated corporate transaction agreements including mergers, stock purchases, asset purchases, and disclosure schedules. She also crafts and negotiates term sheets, transfer and assignment agreements, transactional consents, legal opinions, officer’s and closing certificates, termination notices, and escrow release letters among other legal documentation.

Andy’s experience also includes advising clients on post-closing and general corporate governance matters. She drafts corporate governance documents including operating agreements, formation documents, organizational resolutions, and bylaws for new and existing entities formed in various states. She also prepares SEC filings for public companies, including Form D’s, Form 3’s, Form 4’s, Schedule 13D’s, and various State Blue Sky filings and handles refinancing transactions, including updating agreements, amending pledge, and security agreements.

Prior to joining Goulston & Storrs’ New York office, Andy was a corporate associate with a mid-sized law firm based in New York City where she handled a broad range of complex corporate transactions. While in law school, Andy was a judicial intern for the Honorable Judge Kenneth Karas in the United States District Court for the Southern District of New York.
