Sogou Inc. Going Private Acquisition by Tencent

We represented Sogou Inc.’s special committee in Tencent Holdings Limited’s acquisition of Sogou in a going-private transaction valued at $2.14 billion. We also represented Sohu.com Limited in its capacity as a selling shareholder in the transaction. We prepared and negotiated the merger agreement and a share sale agreement between Sohu and Tencent, and prepared the Schedule 13E-3 Transaction Statement for the transaction.
