Providing Transactional and Executive Compensation Advice
Erek advises clients across diverse industry sectors on transactional, compensation/total reward, and benefit plan implementation/compliance and termination-related matters. In corporate transactions, including mergers and acquisitions, Erek advises clients on pre- and post-closing benefits and compensation issues. He regularly drafts, negotiates, and counsels clients in connection with the design and administration of nonqualified plans and arrangements, including, for example, equity and cash-based plans (both short- and long-term), severance and retention plans, change in control agreements, and employment agreements. Erek frequently advises clients concerning Section 409A and Section 280G compliance. In addition, he regularly advises clients on the fiduciary and prohibited transaction considerations that arise in securitization transactions.
Providing ERISA Counsel
Erek’s substantial experience also includes the qualified retirement plan space. He regularly counsels clients on defined contribution plans (i.e., 401(k), profit sharing, and 403(b) plans) and defined benefit plans, including with regard to the establishment, compliance, and termination related issues arising under ERISA, the Internal Revenue Code and other applicable laws. Clients frequently rely on his help to identify and correct operational, plan document, and fiduciary failures under the EPCRS and VFCP guidelines, in addition to negotiating correction methods and related excise tax issues with the IRS and the Department of Labor.
