From routine benefits questions to complex compensation structures, we make it simple—partnering with our Tax Group to ensure every plan is cost-effective, compliant, and tax-smart.
- Design and draft benefit plans and related materials, such as plan documents, SPDs, and employee handbooks.
- Advise on cafeteria plans, dependent care, flexible benefits, and premium payment arrangements.
- Guide benefit and compensation issues in corporate transactions, including mergers and acquisitions.
- Conduct due diligence and COBRA compliance reviews.
- Counsel on 401(k) plan terminations, including those in bankruptcy liquidations.
We also advise on a wide range of executive pay structures, from nonqualified deferred compensation plans (including rabbi and secular trusts) to equity-based incentives for partnerships, LLCs, and corporations. Our experience covers stock option plans, restricted stock, phantom stock, and stock appreciation rights, always keeping business, tax, and financial reporting implications in view.
In every engagement, our goal is to simplify the complex—offering clear explanations of costs and benefits, ensuring compliance, and delivering strategies that motivate key players and support long-term organizational success.

- Compliance with the Fair Labor Standards Act (FLSA) and state wage laws.
- Employee classification reviews.
- Overtime, minimum wage, and pay equity guidance.
