Overview

Yaacov Gross is a Co-Chair of the firm’s Real Estate Capital Markets Group.  He focuses his practice on all aspects of finance, including the formation of public and private investment and operating entities, capital formation transactions (public offerings and private placements of securities, joint venture transactions, private equity and venture capital investments), mergers and acquisitions, financings and the development of financial products.

Yaacov works extensively with REITs and other real estate entities, including lodging and gaming companies, hedge funds and institutional investors in real estate.

Representative Experience

• Representation of CBL & Associates Properties, Inc. in the formation of a $1B joint venture with TIAA-CREF to invest in market-dominant shopping malls nationally.
• Represent a large NYSE-traded mall REIT with respect to its capital markets transactions, including issuances of 2010 and 2009) complex property portfolio transactions joint ventures and general board and management advisory work.
• Counsel a family of real estate private equity funds with respect to complex joint venture restructurings and advice regarding potential bankruptcy/restructuring of a portfolio company.
• Represent institutionally-owned, externally advised, REIT regarding investments in a broad range of property types nationally, and advice with respect to a major debt restructuring.
• Advise Israeli publicly-traded specialty finance company that provided mezzanine and structured debt to several real estate joint ventures.
