  • A joint venture in genetics and genomics among two academic medical centers and a major medical school, including creation of more than $20M in corporate collaboration arrangements, corporate-sponsored research, licensing and service agreements, government and foundation research programs and HIPAA, Anti-Kickback and other regulatory compliance.
  • Representation of a patented software service (SaaS) company providing services to major national retailers using proprietary software algorithms in connection with all of their technology transactions in the areas of corporate, finance, contracts, retailer agreements, terms of use and privacy, data protection and use policies.
  • Represented online educational service provider in content development and course-load distribution agreements, including establishing a subsidiary in India.
  • Represented a Netherlands-based network technology company in connection with software and related technology licensing and development and strategic relationship matters.
  • Represented a developer of natural language and data asset management software, on matters including $15M round of venture financing, software licensing, strategic acquisition and relationship matters and general corporate representation.
  • Represented academic medical center in $280M monetization of royalty stream from patented pharmaceutical product.
  • Offshore tax and ownership structuring, executive incentive plans, technology transfers and operations in Japan and Europe of a global financial services software technology company, a spin-off of the largest independent broker-dealer in the United States.
  • Outside general corporate, securities and M&A counsel to Sohu.com, a leading Chinese online media, communications, search, online games, and mobile value-added services company (NASDAQ-traded); representation has included multiple acquisitions.
  • Represented eLong, Inc., a leading Chinese online travel company (NASDAQ-traded), in connection with Expedia, Inc.’s purchase of a controlling interest and in connection with eLong’s M&A activities in China.
